TimeTraxr Terms of Use
Effective Date:
1. About These Terms
These Terms of Use govern authorized use of TimeTraxr, including its administrative interface, timekeeping kiosks, reports, and related functionality.
TimeTraxr is owned and operated by NORTHEAST TALENT SOLUTIONS LIMITED LIABILITY COMPANY, referred to as "NorthEast Talent Solutions," "we," "us," or "our." Titan Worx develops and supports the software.
TimeTraxr supports scheduling, timekeeping, reporting, and payroll preparation for NorthEast Talent Solutions employees assigned to client businesses.
These Terms govern use of the software. They do not replace an employment agreement, collective bargaining agreement, signed staffing agreement, or rights provided by applicable law.
2. Authorized Users and Access
TimeTraxr is intended for employees and authorized representatives of NorthEast Talent Solutions and its client businesses who are at least 18 years old.
You may access only the accounts, records, companies, locations, departments, and functions that you are authorized to use. Account permissions do not authorize access to unrelated employee or client information.
If you accept these Terms on behalf of a client business, you must have authority to bind that business. An employee using a timekeeping kiosk does not thereby accept commercial obligations on behalf of a client business.
3. Relationship to Paid Staffing Services
Access to TimeTraxr is included as part of NorthEast Talent Solutions' paid staffing services. These Terms do not create a separate software subscription, automatic renewal, or software payment obligation.
Staffing fees, invoicing, payment obligations, and termination of staffing services are governed by the applicable signed staffing agreement.
Where these Terms conflict with a signed staffing agreement concerning the commercial relationship between NorthEast Talent Solutions and a client business, the signed agreement controls to the extent of that conflict. This provision does not bind employees to a client's commercial agreement or override nonwaivable rights.
Employees are not charged a TimeTraxr access fee under these Terms.
4. Accounts, PINs, Badges, and Security
You are responsible for using your own assigned credentials and taking reasonable steps to protect them.
You must not:
- Share a password, PIN, badge, or account with an unauthorized person.
- Record punches for another employee.
- Use another person's credentials or impersonate another person.
- Attempt to bypass access controls or obtain information outside your authorization.
- Leave an administrative session accessible to unauthorized users.
Report suspected unauthorized access, compromised credentials, or lost badges promptly through your designated workplace contact.
Client businesses must use authorized accounts and notify NorthEast Talent Solutions when access is no longer appropriate. These responsibilities do not transfer the operator's own security obligations to users.
5. Accurate Timekeeping and Corrections
Employees must accurately report the time they work and their actual meal activity. Do not knowingly submit false punches or omit work time.
If you cannot record a punch, notice an incorrect entry, or believe a summary does not reflect your work, contact your department manager. If the system is unavailable, report your time through the alternative process arranged by your department manager or NorthEast Talent Solutions.
Authorized reviewers must handle corrections honestly and must not alter records to conceal work performed or reduce compensation unlawfully.
A failed punch, missing entry, delayed correction request, or inability to use TimeTraxr does not eliminate an employee's right to wages owed. Nothing in these Terms authorizes off-the-clock work or retaliation for raising a timekeeping or pay concern.
6. Schedules, Calculations, Meals, and Reports
Schedules describe expected work arrangements; they are not conclusive evidence of the time actually worked.
TimeTraxr may display calculated hours, overtime, attendance exceptions, schedule comparisons, and other summaries. These outputs depend on the information and configuration available and require appropriate review.
A scheduled meal period or configured meal duration does not establish that an employee actually took a legally qualifying unpaid meal. Nothing in these Terms authorizes an unpaid deduction inconsistent with the employee's actual work or applicable law.
Reports comparing schedules with punches may use an employee's current recurring schedule rather than a historical version, as identified in the report.
Weekly emailed summaries are informational and do not replace legally required wage statements, payroll notices, or the obligation to maintain accurate records and pay wages required by law.
7. Client-Business Use of Employee Information
Authorized client-business users may use TimeTraxr information only for legitimate purposes connected with their staffing relationship, assignments, scheduling, timekeeping, and other expressly authorized activities.
They must not disclose employee information to unauthorized persons or use it for unrelated advertising, marketing, solicitation, or other unauthorized purposes.
These restrictions do not prohibit lawful disclosures, compliance with legal process, reporting suspected wrongdoing, or employees' protected discussion of wages, hours, or working conditions.
8. Acceptable Use
You must not:
- Falsify records or knowingly submit misleading information.
- Interfere with the service or introduce malicious software.
- Conduct unauthorized scanning, intrusion, or security testing.
- Scrape, copy, or export information beyond your authorization.
- Use TimeTraxr to harass, discriminate, retaliate, or violate another person's rights.
- Remove proprietary notices or misrepresent the source or ownership of the software.
- Reverse engineer or circumvent technical restrictions except where applicable law permits that activity despite this restriction.
These provisions do not restrict legally protected reporting, cooperation with regulators, labor activity, or lawful access to your own records.
9. Software Ownership and Permission to Use
As between NorthEast Talent Solutions and users, NorthEast Talent Solutions owns TimeTraxr and the associated proprietary software and materials, subject to the rights of third-party licensors.
We grant authorized users a limited, nonexclusive, nontransferable permission to use TimeTraxr for its intended staffing and timekeeping purposes while their access remains authorized.
These Terms do not transfer ownership of the software or grant a right to resell, sublicense, or provide it to others.
Our software ownership does not override individuals' rights concerning their personal information, employment records, or other protected information.
10. Privacy and Operational Communications
Our collection, use, disclosure, and retention of personal information are described in the TimeTraxr Privacy Policy.
TimeTraxr may send operational messages, including weekly pay-period summaries and security or service notifications. Keep your contact information accurate.
The Privacy Policy describes our practices; acceptance of these Terms is not a substitute for any separate notice, authorization, or consent required by applicable law.
11. Third-Party Services and Support
TimeTraxr relies on outside service providers for functions such as hosting and email delivery. Titan Worx provides development and technical support.
Authorized personnel may export payroll-related information for upload to ADP. TimeTraxr's reports do not guarantee that a payroll export will be accepted by ADP or that payroll processing is complete.
Third-party services may have their own applicable terms and privacy practices. Using those services does not excuse NorthEast Talent Solutions or a client business from obligations imposed by law or a signed agreement.
12. Availability, Changes, and Suspension
We may maintain, update, modify, or temporarily interrupt TimeTraxr. We may restrict or suspend access where reasonably necessary for security, suspected misuse, the end of an authorized assignment, or other legitimate operational reasons.
These Terms do not promise uninterrupted availability or a particular service level.
Suspension or interruption of access does not eliminate wage-payment obligations, required record retention, legally required access to records, or other protected rights. Employees who cannot use TimeTraxr should contact their department manager to arrange another means of reporting time.
13. Limited Software Disclaimers
To the extent permitted by applicable law, and except for express commitments in a signed agreement, TimeTraxr is provided on an "as available" basis. We do not guarantee that it will be uninterrupted or free from every error.
To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement relating to the software.
These disclaimers do not excuse inaccurate wage payments, unlawful employment practices, failure to meet statutory duties, or breach of an express obligation in a signed agreement. They do not disclaim a protection or warranty that applicable law prohibits us from disclaiming.
14. Liability and Protected Rights
For claims by client businesses arising from software use, and only to the extent permitted by law and consistent with the applicable signed staffing agreement, NorthEast Talent Solutions will not be liable under these Terms for indirect, incidental, special, or consequential commercial damages, including lost profits.
Any agreed monetary liability cap is governed by the applicable signed staffing agreement. These Terms do not establish a separate dollar cap.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where such a limitation is prohibited, or any other liability that cannot lawfully be excluded or limited.
These Terms do not limit employees' rights to wages, overtime, statutory remedies, protected complaints, labor activity, privacy protections, or access to governmental agencies and courts as provided by law. Employees are not required to indemnify NorthEast Talent Solutions, Titan Worx, or a client business under these Terms.
15. Governing Law and Courts
To the extent permitted by applicable law, these Terms are governed by New Jersey law, without applying conflict-of-law rules that would displace that law.
Subject to mandatory laws and venue requirements, disputes concerning these Terms may be brought in the state courts located in Passaic County, New Jersey, or a federal court of competent jurisdiction in the District of New Jersey.
This provision does not deprive an employee or other user of mandatory protections under the laws applicable to them, restrict a legally protected agency complaint, or require a claim to be brought in a forum prohibited by law.
These Terms do not require arbitration and do not contain a class-action waiver.
16. Changes to These Terms
We may revise these Terms to reflect changes to TimeTraxr or applicable requirements. Revised Terms will identify their effective date.
We will provide notice and seek renewed acceptance where required by applicable law or the applicable agreement. Changes will not retroactively waive accrued claims or nonwaivable rights.
17. General Provisions
If a provision is held unenforceable, the remaining provisions will continue to apply to the extent permitted by law. An invalid provision will not be interpreted to require a waiver of protected employment or privacy rights.
A failure to enforce a provision on one occasion does not waive the right to enforce it later.
These Terms do not determine employment status, allocate joint-employer responsibilities, promise continued employment, or guarantee a particular assignment or number of work hours.
